Welcome to the Terms of Service (these “Terms”) for the OrangeBit website, including its subdomains (the “Website”) and any other websites linked to these Terms (collectively, the “Sites”). The Website and linked Sites are operated by or on behalf of OrangeBit (“we”, “our”, or “us”).

The Organization’s services, including but not limited to the Website, content, software, documentation, tools, features, and any functionality offered through the Website or third-party platforms (collectively, the “Services”), are governed by these Terms. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.

For purposes of these Terms, “you” or “your” refers to the individual using the Services, including, if applicable, the entity on whose behalf you are acting. You represent and warrant that you are authorized to bind any such entity and agree to these Terms on its behalf and your own.

Important: Section 7 contains an arbitration clause and class action waiver. By agreeing to these Terms, you agree to resolve disputes primarily through binding individual arbitration and waive the right to participate in class actions or representative proceedings.


1. Eligibility

You must be at least 18 years old and not a Prohibited Person to use the Services.

A “Prohibited Person” includes anyone who:

  1. Is subject to economic or trade sanctions by any governmental authority, including individuals or entities on sanctions lists (e.g., EU, UK, US OFAC);

  2. Is located in, organized in, or a resident of a country or territory subject to comprehensive sanctions or designated as supporting terrorism;

  3. Is owned or controlled by persons described above;

  4. Uses the Services on behalf of persons or entities described above;

  5. Is in a jurisdiction where use of the Services is prohibited by law.

2. Rights and Use of Services

2.1 Scope

Unless otherwise specified, the Services include digital tools, content, and technical support related to decentralized finance and blockchain trading (“Core Services”). Any additional services provided by the Organization will become part of the Services upon notification (via the Website or email).

2.2 Documentation

The Services may provide documentation, guides, tutorials, blogs, videos, or other materials (“Documentation”), solely to assist you in using the Services.

2.3 License

We grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable right to access and use the Services for personal or internal business purposes, subject to these Terms. Any software or content provided remains the Organization’s property and may only be used to access and interact with the Services.

Service access may be interrupted due to updates, maintenance, or other circumstances beyond our control. We are not liable for interruptions beyond reasonable control and will make reasonable efforts to provide advance notice.

2.4 Restrictions

You may not, without explicit written consent:

  • Copy, modify, distribute, or create derivative works from the Services;

  • Remove or use intellectual property notices;

  • Use bots, hacks, or unauthorized software;

  • Disrupt or impair the Services;

  • Introduce malware or harmful code;

  • Impersonate others or violate laws;

  • Access the Services in any manner not permitted by these Terms.


3. Ownership

3.1 Service Ownership

All Services, content, and associated intellectual property are owned by the Organization or its licensors. You agree not to act in ways inconsistent with this ownership.

3.2 Feedback

Any feedback or suggestions you provide become the Organization’s exclusive property. You assign all rights (including IP rights) to the Organization.


4. Third-Party Services

The Services may link to third-party content or platforms. We do not endorse or guarantee such services. Use of third-party services is at your own risk and governed by their terms.

6. Disclaimers and Limitations

6.1 Disclaimers

Services are provided “AS IS” and “AS AVAILABLE”. No warranties are provided regarding accuracy, reliability, availability, or suitability. The Organization is not responsible for financial, business, or data losses arising from use.

6.2 Limitation of Liability

To the extent permitted by law, liability is limited to the greater of USD 100 or the amount you paid the Organization in the prior 6 months. Indirect, incidental, or punitive damages are excluded.

6.3 Indemnification

You agree to indemnify the Organization for claims arising from your violation of these Terms, applicable laws, third-party rights, misuse of Services, or misconduct.


7. Arbitration and Class Action Waiver

7.1 Informal Resolution

Disputes must first attempt informal resolution via email ([email protected]envelope) with a 30-day response period.

7.2 Arbitration

Unresolved disputes will be submitted to binding individual arbitration under ICC rules, seated in Hong Kong SAR, conducted in English. Class actions or representative actions are waived.

7.3 Exceptions

Certain disputes, such as intellectual property or injunctive relief, may be resolved in court.


8. Additional Provisions

8.1 Updates

We may update these Terms at any time. Material changes will be notified. Continued use constitutes acceptance.

8.2 Suspension and Termination

Violations may result in termination of access and license. Certain sections survive termination (Ownership, Liability, Arbitration, etc.).

8.3 Force Majeure

We are not liable for delays or failures caused by events beyond reasonable control, including natural disasters, wars, epidemics, or power outages.

8.4 Governing Law

These Terms are governed by Hong Kong SAR law. Courts of Hong Kong have exclusive jurisdiction for disputes outside arbitration.

8.5 Miscellaneous

Invalid provisions are severable. Terms may be assigned by the Organization but not by you. No waiver of breach applies to future breaches.
